Experience

Prior to founding EK/LAW, Elliot Kermani was an associate at Goldman Sachs, in-house counsel for Yahoo! and Roll Global (FIJI Water, POM Pomegranate Juice and Wonderful Brand Pistachios), and a Senior Associate at top-tier international corporate law firms of Skadden, Arps, Slate, Meagher and Flom and DLA Piper.

In addition, Elliot was a founder, part of the management and operational teams, and business advisor to various companies in the areas of digital media, entertainment, real estate, technology, hospitality, and retail, including UrbanDaddy, a leading entertainment and lifestyle digital media company.

Elliot is well-versed in drafting, negotiating and analyzing purchase and sale agreements, development and distribution deals, commercial leases, website terms and policies, as well as a variety of commercial contracts such as licensing, advertising, marketing, promotional, service and supply, procurement, IT, vendor, employment, and consulting agreements.

Elliot has significant domestic and international corporate transactional experience managing all aspects of mergers and acquisitions, venture capital and project financings, and equity and debt offerings, including initial public offerings, private placements, secured and unsecured borrowings, strategic alliances, and joint ventures.

Elliot is highly skilled at directing both private and public companies on corporate formation and governance, company policies and procedures, SEC filings, enterprise risk management, and general business and operational matters.

Elliot has expertise in digital media, e-commerce and internet law, including managing and collaborating with sales, marketing and technology teams in the creation and implementation of branded mobile, web-based and other interactive digital platforms. Elliot is also well versed in forging strategic partnerships and marketing opportunities, developing revenue generating and monetization strategies, structuring business development deals, and expanding into new distribution channels.

Elliot has provided legal counsel in the acquisition, development and financing of numerous digital and e-commerce platforms and applications, the acquisition and financing of a Hollywood nightclub and concert venue, the acquisition, development and financing of various restaurant and retail establishments, the acquisition and financing of a hotel and hospitality corporation, and the acquisition of a fast-food restaurant franchisee.
