Experience
Elliot Kermani has over two decades of experience advising Fortune 500 companies, start-ups and emerging growth ventures, investors and entrepreneurs, and small to mid-market businesses. Some of the companies he has worked with include Yahoo!, Goldman Sachs, LegalZoom, UrbanDaddy and The Wonderful Company as well as the top-tier international corporate law firms of Skadden, Arps, Slate, Meagher & Flom and DLA Piper.
Elliot has significant corporate transactional experience counseling on all aspects of domestic and international mergers and acquisitions as well as drafting and negotiating extensive purchase and sale agreements.
Elliot is well-versed in equity and debt offerings and private placements, and venture capital and project financings. This includes the issuances of convertible notes and SAFEs, and the raising of angel and seed investments.
Elliot also has extensive experience drafting and negotiating commercial real estate leases and other commercial contracts such as licensing, service and supply, marketing, procurement, IT, employment, and consulting agreements. He has also assisted on management agreements, product launches, sponsorship and promotional deals, customer agreements, intellectual property arrangements, vendor agreements, service and supply contracts, and website terms and privacy policies.
Elliot is highly skilled in assisting start-up and emerging growth companies with formation and other corporate governance documents, investment and shareholder agreements, buy and sale arrangements, and non-disclosures and confidentiality agreements.
Elliot further advises companies on a variety of day-to-day transactional and business matters, including compliance, regulatory and intellectual property issues, company policies, dispute resolutions, business strategies, and partnership and business development opportunities.
